Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and CostLens, operated by Bytecore ("CostLens", "we", "us", or "our") governing your access to and use of our SaaS subscription management platform (the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Eligibility and Account Registration
2.1 Age Requirement
You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
2.2 Account Registration
To access the Service, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your password
- Accept all responsibility for activities under your account
2.3 Account Security
You are solely responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account at [email protected].
3. Subscription Plans and Billing
3.1 Service Plans
CostLens offers the following subscription plans:
- Free Plan: Up to 5 subscriptions, 2 domains, 1 budget
- Starter Plan (€29/month): Up to 20 subscriptions, 5 domains, 3 budgets
- Professional Plan (€79/month): Unlimited subscriptions, domains, and budgets
3.2 Plan Limitations
If you exceed the limits of your current plan, you must upgrade to continue adding data. We reserve the right to suspend service until you upgrade or reduce your usage to within plan limits.
3.3 Billing and Payment
Paid plans are billed monthly in advance. By providing payment information, you authorize us to charge the applicable fees to your payment method. All fees are non-refundable except as required by law.
3.4 Price Changes
We may change our pricing with 30 days' notice. Price changes will apply to your next billing cycle. Your continued use after the price change constitutes acceptance.
3.5 Taxes
All fees are exclusive of applicable taxes (VAT, GST, etc.), which will be added to your invoice as required by law.
4. License Grant
4.1 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes only.
4.2 Restrictions
You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble the Service
- Rent, lease, lend, sell, or sublicense the Service
- Use the Service for any unlawful purpose
- Remove or alter any proprietary notices
- Use automated tools (bots, scrapers) without our written permission
- Attempt to gain unauthorized access to our systems
5. Acceptable Use Policy
5.1 Prohibited Activities
You agree not to:
- Use the Service to harass, abuse, or harm others
- Upload malicious code, viruses, or harmful content
- Interfere with or disrupt the Service or servers
- Abuse our customer support or data protection request systems
- Submit excessive, repetitive, or manifestly unfounded data subject requests
- Use the Service in a manner that violates any applicable law
- Impersonate others or misrepresent your affiliation
- Collect or harvest information about other users
5.2 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and we may report illegal activities to law enforcement.
6. Intellectual Property Rights
6.1 Our IP
The Service, including all software, designs, text, graphics, logos, and other content (excluding your data), is owned by CostLens and protected by copyright, trademark, and other intellectual property laws.
6.2 Your Data
You retain all rights to the data you input into the Service (subscription details, budgets, etc.). By using the Service, you grant us a limited license to process this data solely to provide the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without restriction or compensation.
7. Service Availability and Support
7.1 Uptime
While we strive for 99.9% uptime, the Service is provided "as is" and we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice when possible.
7.2 Support
Free Plan users receive community support only. Paid plan users receive email support with response times based on their plan level.
7.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice, except in emergencies.
8. Termination and Cancellation
8.1 Cancellation by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.
8.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay applicable fees
- Engage in fraudulent or illegal activities
- Abuse our data protection request systems
8.3 Effect of Termination
Upon termination, your right to use the Service immediately ceases. We will retain your data for 30 days to allow recovery, after which it will be permanently deleted in accordance with our Privacy Policy.
8.4 Data Export
Before termination, you may export your data using our CSV export feature. We are not responsible for data loss after account termination.
9. Disclaimers and Limitations of Liability
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSTLENS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.
9.3 Exceptions
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited or excluded by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless CostLens and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your violation of these Terms
- Your use or misuse of the Service
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
11. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process your personal data in accordance with GDPR and applicable data protection laws.
We reserve the right to refuse, charge for, or terminate service in response to data subject requests that are manifestly unfounded, excessive, or constitute abuse of the GDPR (Article 12(5)).
12. Changes to These Terms
We may modify these Terms at any time by posting the updated version on our website. We will notify you of material changes by email or prominent notice within the Service at least 30 days before they take effect.
Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree to the changes, you must cancel your account before they take effect.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the European Union and Greece, without regard to conflict of law principles.
13.2 Jurisdiction
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.
13.3 Informal Resolution
Before filing a legal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CostLens regarding the Service and supersede all prior agreements.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
14.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.
